1. Scope and precedence
These terms apply to advertisers, agencies and buyers who request media proposals or campaign services from AdSini. They supplement the Website & Platform Terms. Any accepted proposal, insertion order, booking confirmation or signed contract for a campaign prevails over these general terms where it expressly differs.
2. No booking until written acceptance
Requests, shortlists, messages and draft proposals do not reserve inventory. A booking exists only after the applicable campaign document has been accepted as specified by AdSini and any required deposit, credit approval or other condition stated in that document has been satisfied.
3. Availability and substitutions
Media remains subject to date-specific availability, venue/operator requirements and events outside AdSini's control until confirmed. If a confirmed placement becomes unavailable, remedies, substitutions, credits or rescheduling will be handled in accordance with the accepted campaign document and applicable law.
4. Advertiser information and authority
You must provide accurate campaign information and have authority to instruct AdSini and approve creative, budgets and bookings on behalf of the named advertiser or agency. AdSini may request verification before accepting instructions.
5. Creative materials and compliance
Creative approval by AdSini or an operator is not legal advice and does not transfer responsibility for the advertiser's claims or underlying rights.
- You are responsible for having the rights needed to use supplied brands, artwork, music, photographs, claims and other creative materials.
- Creative must comply with applicable law, advertising rules, venue/operator policies and technical specifications.
- AdSini or a media operator may reject, suspend or request changes to material that is unlawful, misleading, unsafe, technically unsuitable or reasonably likely to breach operator requirements.
6. Production and installation
Printing, adaptation, production, installation, removal, content trafficking or related services are included only where stated in the accepted proposal. Deadlines depend on timely delivery of final approved materials and required information.
7. Rates, taxes and payment
Rates, taxes, deposits, credit terms, due dates and additional charges are stated in the applicable proposal or invoice. Unless otherwise stated, quoted media availability and pricing may expire or change before acceptance. Late-payment or suspension rights are governed by the accepted commercial terms and applicable law.
8. Changes, cancellation and rescheduling
Campaign changes, cancellations and rescheduling are subject to the accepted proposal, operator commitments, production status and costs already incurred. Do not assume a cancellation is free unless the accepted commercial document expressly says so.
9. Measurement and campaign outcomes
Any audience, traffic, impression, reach, dwell or other measurement supplied is subject to its stated source, scope and methodology. AdSini does not guarantee sales, conversions, recall or other business outcomes unless a specific guarantee is expressly included in a signed document.
10. Third-party media owners and operators
Some campaigns require performance by independent media owners, venue operators, production vendors or technology providers. AdSini coordinates these parties where included in scope but is not deemed to control every independent third party. Campaign documents may allocate specific risks and responsibilities.
11. Delays and events outside reasonable control
Weather, authority actions, venue restrictions, equipment failure, utility outages, safety events, emergencies and other circumstances outside reasonable control may affect display or installation. The applicable campaign document governs make-good, rescheduling or other remedies where relevant.
12. Confidentiality and proposal use
Non-public rates, commercial proposals and confidential campaign information must not be disclosed to unrelated third parties except as reasonably required for internal approval, professional advice or performance of the campaign, unless otherwise agreed.
13. Personal data
Business contact and campaign personal data is processed in accordance with AdSini's Personal Data Protection Notice. Agencies should ensure they have authority to provide relevant contact details to AdSini.
14. Liability and law
Liability, indemnities and campaign-specific remedies are governed primarily by the accepted campaign document. Nothing in these terms excludes rights or liabilities that cannot lawfully be excluded. Unless a signed campaign document states otherwise, Malaysian law applies.
